# End User License Agreement (EULA)

## 1. Agreement

By downloading, installing, or using the Software, you ("Licensee") agree to this Agreement with the Software's author/seller ("Licensor"). If you do not agree, do not use the Software.

## 2. License grant

Upon payment of the $10 license fee, Licensor grants Licensee a **non-exclusive, non-transferable, perpetual** license to:

- install and use the Software for **personal and commercial** purposes;
- **create, own, publish, monetize, and distribute the videos and other media you generate** with the Software, with no royalty owed to Licensor.

This is a **single-product application license** for one user/seat. Reasonable use across your own devices is permitted.

## 3. Restrictions

You may **not**:

- resell, sublicense, rent, lease, or redistribute **the Software itself** (the source code/app), or offer it as a competing product or hosted service;
- remove or alter copyright, license, or attribution notices;
- represent the Software as your own original software product.

(These restrictions apply to the Software. They do **not** restrict the videos you create with it — those are yours; see §6.)

## 4. Third-party services and costs

The Software is a client-side tool that can connect to third-party services **using credentials you supply**. You are solely responsible for:

- your own API keys, accounts, and **all usage fees** for OpenAI, Google Gemini, ElevenLabs, Runway, YouTube/Google, and any other service you use;
- complying with each provider's **terms of service and acceptable-use policies**;
- the **Kokoro** TTS model and any other third-party/open-source components, which are provided under **their own licenses** (retain and comply with those licenses).

Licensor does not provide, control, or guarantee any third-party service and is not responsible for their availability, output, pricing, or policy changes.

## 5. "AS IS" — no warranty

THE SOFTWARE IS PROVIDED **"AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND**, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. Licensor does not warrant that the Software will be error-free, uninterrupted, compatible with every browser/device, or that generated content will be accurate or suitable for any purpose. **Known limitations are documented in `docs/specs.md` ("Known Issues").**

## 6. Content ownership

**You own the videos, slides, transcripts, and other output you create** with the Software, subject to the rights/terms of any third-party AI or voice service you used to generate them. Licensor claims no ownership of your output.

## 7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE SHALL NOT EXCEED THE **$10 LICENSE FEE PAID**. Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or third-party service charges, even if advised of the possibility.

## 8. Term and termination

This license is effective until terminated. It terminates automatically if you breach any term (notably §3). On termination you must stop using and delete the Software. Videos you already created under §2 remain yours.

## 9. Updates and support

The $10 fee covers the Software as delivered. Updates, fixes, and support are provided at Licensor's discretion and are not guaranteed by this Agreement.

## 10. Governing law

This Agreement is governed by the laws of **[INSERT JURISDICTION]**, without regard to conflict-of-laws rules. Any dispute shall be resolved in the courts of **[INSERT VENUE]**. *(Fill in before distribution.)*

## 11. Entire agreement

This Agreement is the entire agreement between the parties regarding the Software and supersedes prior understandings. If any provision is unenforceable, the rest remains in effect.

## 12. Bundled assets — music credits

Vidwright ships with four background-music tracks (`Calm`, `Corporate`, `Upbeat`, `Cinematic`) in
`src/assets/music/`. These are **original compositions created for Vidwright by The Code Crafters**
and are released **royalty-free under CC0 (public-domain dedication)**. You may use them in the
videos you create — including commercially — with **no attribution required**. Any music you supply
via the “Upload your own” option remains your responsibility, and you represent that you hold the
necessary rights to use it.

## 13. Generated deliverables

Each project can produce, and let you **download**, the following — all of which **you own** and may
use freely (including commercially):
- the finished **video** (`.webm`, Step 4),
- the **slide images** and the full **project ZIP** (Import/Export),
- a **comprehension quiz** — a self-contained interactive **`quiz.html`** (2 questions per slide),
  downloadable from **Step 6 → Download Quiz** and included in the project ZIP under `quiz/`.
